This part of our terms and conditions applies to the purchase of HR employment contracts and agreements, policies, procedures, forms, letters and associated digital products and material from the CHR Documents Shop web pages made available for download from www.cambridgehumanresources.com.

Fees and Payments

The fees associated with our digital products and material are detailed on the website next to each product. All prices quoted are exclusive of VAT. VAT will be added, at the prevailing rate to your shopping basket prior to confirmation of purchase. 

Cambridge Human Resources reserves the right to change or amend the prices of any digital products or material on the website without notice. You may purchase our digital products and material at the price published in our CHR Documents Shop web pages at the time of purchase.

The digital products and material can be downloaded using a digital download key that will be provided to you by e-mail upon confirmed receipt of payment, or for subscribers to our single priced fixed term General Human Resources and Staff Management Consultancy and Advice Service, by your user login being enabled to provide your unlimited access to the CHR Documents Shop’s digital products and material for the duration of your subscription period, and you should save to your computer or digital media storage device any digital products and material that you have paid for and downloaded from the CHR Documents Shop web pages.

Cambridge Human Resources accepts no liability for any loss or damage caused or alleged to be caused by your use of Cambridge Human Resources CHR Documents Shop digital products and material.

Statutory Rights

The CHR Documents Shop - Subscription To the General Human Resources and Staff Management Consultancy and Advice Services

The purchase of a subscription to the Cambridge Human Resources General Human Resources and Staff Management Consultancy and Advice Services is subject to the following terms of use:  

Scope Of Appointment 

This part of our terms and conditions applies to the appointment (the 'Appointment') of Cambridge Human Resources as your Human Resources Adviser in connection with the provision of General Human Resources and Staff Management Consultancy and Advice Services (the 'Activities'). 

Our Appointment relates to the Services for the Activities set out in the “Scope of Service” section of this Agreement. 

Duration Of Appointment and Monitoring 

Our Appointment as your service provider for General Human Resources and Staff Management Consultancy and Advice Services will be for the provision of a minimum of either 6 (six) or 12 (twelve) calendar months, in accordance with your requirements as set out in your confirmed order. 

The provision of the Services shall commence, (subject to receipt of your cleared payment for the Service,) 8 (eight) calendar days after the date of your confirmed order, on which commencement date your user login access will be enabled to provide without charge to you, your unlimited access to the CHR Documents Shop’s digital products and material for the duration of your subscription period. 

For subscribers to our "On-site" consultancy and advice solutions, a monthly statement showing your contracted time as it is used over the course of the Appointment, together with its monetary value before any discount that has been applied will be provided to you electronically, indicating the time spent on each consultancy and advice activity in the calendar month and the remaining time available for your use over the remainder of the contract period. 

Appointment Renewal and Carry Over

To ensure the concurrency of the provision of our Service to you and any additional benefits that may be offered by us for such concurrency, we will write to you 1 (one) calendar month before the expiry of the service period offering a new agreement for the provision of our Consultancy and Advice Services to you.

There will be no right to carry over of any unused time from one contract period to any other contract period, whether or not the periods are concurrent.

Fees and Payments

The fees associated with our General Human Resources and Staff Management Consultancy and Advice Services are detailed on the website next to each subscription product. All prices quoted are exclusive of VAT. VAT will be added, at the prevailing rate, to your shopping basket prior to confirmation of purchase. 

Cambridge Human Resources reserves the right to change or amend prices of its General Human Resources and Staff Management Consultancy and Advice Services without notice. You may purchase the Services at the price published in our CHR Documents Shop web pages at the time of purchase.

Rates and Expenses

Cambridge Human Resources' normal hourly rate for all desk-based work undertaken on behalf of the client is Â£62.50 per hour (excluding VAT). Our rate for site visits to client premises, or to other sites at the request of the client, Â£250.00 per half-day (excluding VAT) and Â£500.00 per full-day (excluding VAT).

Clients purchasing a subscription for Cambridge Human Resources to provide to them Cambridge Human Resources' "On-site" General Human Resources and Staff Management Consultancy and Advice Services under the terms of this Agreement, have benefitted from the subscription discount shown in the product preview document for each day purchased against the normal daily rate charged by Cambridge Human Resources.

From time to time, and at its sole discretion, Cambridge Human Resources may offer selected new or renewing clients further reductions through the provision to them by Cambridge Human Resources of promotional codes for use through its website. 

Cambridge Human Resources' hourly rate is applied to all desk-based work undertaken on behalf of the client. 

Cambridge Human Resources' half-day rate is applied to any visit to the client premises or to other sites at the request of the client, up to a maximum of 4 (four) hours including travel time to the client premises or to other sites at the request of the client. 

The full-day rate is applied to any visit to the client premises or to other sites at the request of the client, up to a maximum of 8 (eight) hours including travel time to and from the client premises or to and from other sites at the request of the client. Travel time to and from the appointed location in excess of the full-day rate hours will not be charged.

Cambridge Human Resources reserves the right to amend its rates from time to time. Any change shall be made in writing to the client at its registered offices not less than one calendar month before the client's subscription renewal date.

Expenses, including travel and subsistence, and goods and services purchased on your behalf are charged at cost. For travel, Cambridge Human Resources policy is second-class rail and business mileage. Cambridge Human Resources reserves the right to use alternative means of travel where justified. 

For any site meeting outside 9.00am and 6.00pm, an overnight accommodation and subsistence may be charged at Cambridge Human Resources’ discretion.

Regardless of the actual cost to Cambridge Human Resources, accommodation will be charged at a maximum of £95.00 per night outside of London and £120.00 for London zones 1 to 4. 

Regardless of the actual cost to Cambridge Human Resources, meals will be charged at a maximum of £25.00 for an evening meal (after 6.00pm) and up to a maximum of £10.00 for day meals at all other times. Day meals will only be charged if the site visit lasts longer than 10 hours. 

Mileage will be charged at £0.45 per mile. 

Rates for Travel and Subsistence may be amended from time to time. Any change shall be made in writing to the client at its registered offices, not less than 1 (one) calendar month before the implementation date.

Right To Cancel

In accordance with the Consumer Protection (Distance Selling) Regulations 2000, you have the right to cancel our Appointment as your service provider for General Human Resources and Staff Management Consultancy and Advice by written notice to accounts@cambridgehumanresources.com, setting out the reason(s) for the cancellation of our Appointment, within 7 (seven) calendar days from the date of your confirmed order, following which your payment for the Services will be refunded to you.

If you choose to cancel our Appointment for the provision of the Consultancy and Advice Service to you after 7 (seven) calendar days from the date of your confirmed order or we do not receive your cancellation notification within 7 (seven) calendar days of the date of your confirmed order, no refund will be made to you. 

Scope of Service

General

The provision of our Service shall be as set out in this agreement and in the client’s written queries and requests for general human resources and staff management consultancy and advice.

Requests for consultancy support and advice may be made by telephone, but in any event must be submitted in writing to advice@Cambridgehumanresources.com.

Regardless of any verbal advice given by way of an initial response to the client’s query, the provision of our consultancy support and advice will be in writing either by reply e-mail or letter, setting out the client’s query and our opinion and advice.

Availability Of Contractual Client Benefits 

Our Service is available to you 7 days per week for advice by telephone and e-mail and by appointment for on-site support. An acknowledgment of your telephone or e-mail query or request for advice or on-site support will be provided normally to you on the day of receipt of your request, and will be provided to you within not more than 1 (one) working day of its submission, by reply e-mail.

On any days on which the Service may become temporarily unavailable, responses to your requests for advice will be provided on the next available working day following the date of receipt of the request.

On other days, and at the discretion of Cambridge Human Resources, alternative provision of the Service may be made, including, but not limited to the use of associates and sub-contractors approved by Cambridge Human Resources.

Availability Of Non-Contractual Client Benefits 

As a client of our General Human Resources and Staff Management Consultancy and Advice Service, Cambridge Human Resources will make available to you, without charge, access to the human resources model employment documents contained as downloadable digital content on the CHR Documents Shop web pages of the Cambridge Human Resources website during the Appointment period.

The provision of access to the CHR Documents Shop does not form part of this Appointment for the General Human Resources and Staff Management Consultancy and Advice Service and whilst with the exception of maintenance time, during which the content of the CHR Documents Shop will be unavailable, Cambridge Human Resources will use its best endeavours to ensure the CHR Documents Shop and its products and material is available to you without interruption. 

Engagement Terms 

All work undertaken by Cambridge Human Resources for you will be in accordance with this Agreement. If it is necessary for Cambridge Human Resources to terminate the provision of the Service for reasons set out in this Agreement or for any other reason that Cambridge Human Resources considers justifies the termination of the Service, Cambridge Human Resources shall be entitled to its fees incurred until the date the Appointment is terminated. 

Duty of care 

In carrying out our services, we will exercise the professional skill, care and diligence reasonably to be expected of suitably qualified consultants undertaking services of the like undertaken by us. 

Person-In-Charge 

Paul Webb shall be appointed to be our Person-In-Charge, with responsibility for the overall management of our Service under this Agreement.  He will not be replaced as the Person-In-Charge without your consent. Such consent shall not to be unreasonably withheld.

Except where specified or advised to the contrary, any postal correspondence shall be made to the registered office address contained in this Agreement.

Professional Indemnity Insurance and Liability

Cambridge Human Resources will maintain professional indemnity insurance covering our liabilities for negligence under this Agreement with a limit of indemnity of £2 million for each claim or series of claims arising from the same cause or event. We undertake to maintain such insurance at all times after completion of our Services provided it remains available in the United Kingdom insurance market on commercially reasonable rates and terms. 

If for any reason such insurance is not obtainable on commercially reasonable rates and terms, we will inform you and will obtain in respect of that period such reduced cover, (if any,) as is available and as would be fair and reasonable in the circumstances for us to obtain. 

When reasonably requested by you we will provide documentary evidence that the insurance required under this Appointment is being maintained. 

If any other persons are partially responsible for any loss that you suffer, we will be liable proportionally on the basis that you are deemed to have recovered from the other persons the proportionate amount that represents their contribution to your loss.

We shall have no liability under this Agreement to any person other than you, though this will not preclude us from providing advice at your instruction to other named employees of your company.

Remuneration 

The terms of our remuneration under this Appointment, inclusive of expenses and disbursements unless otherwise noted, shall be as set out in this Agreement. VAT shall be charged at the prevailing rate.     

Expenses and disbursements will be invoiced monthly, based on the rates for expenses set out below or at the cost to Cambridge Human Resources of the disbursements, as appropriate, unless otherwise noted.

The final date for payment for any invoiced amounts shall be 28 days after the date of the invoice. 

You shall give written notice to us by e-mail to accounts@cambridgehumanresources.com not later than 7 (seven) calendar days after the date of the invoice specifying the amount, (if any,) of the payment made, or of the amount, (if any,) proposed to be made, and the basis on which that amount is calculated.

You may not withhold payment after the final date for payment of any sum due unless we are given written notice of intention to withhold, stating the sum to be withheld and the reason, (or if there are several reasons stating each of them and how much is attributable to each).

In the event of any delay in the payment of monies properly due and payable to us, beyond the payment period, we shall be entitled in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

We will perform such additional Service as you may reasonably require, and which we agree to undertake, for which we will be paid our normal hourly/daily rate at the time of undertaking the additional Service.

Extra work due to circumstances we cannot control, (such as delays to client programmes,) will be paid for on the same basis as additional Service.

If you do not proceed with the additional Service, we will be paid (in addition to any amounts which shall have become payable,) a fair and reasonable amount for any abortive work and for any work we do under any incomplete payment stage. 

We will be reimbursed all sums necessarily paid to public authorities or agencies of national or local government for the purposes of the Service.

If we have agreed to do any work speculatively you will pay us a fair and reasonable sum based on our standard hourly rates or as set out in correspondence between us, in the event that you dispose of your interest in the project or programme for which the work was requested by you.

We will perform the Service in accordance with the Scope of Service.

Other Professionals

If any other persons, (legal or natural,) are also partly responsible for any loss that you suffer due to our negligence or breach of contract we will be liable for a fair proportion of your loss calculated on the basis that you are deemed to have recovered from the other persons the proportionate amount that represents their contribution to your loss.

Confidentiality 

Save as may be necessary for the performance of our Service under this Agreement, the requirements of the your brief, or to obtain legal or insurance advice or audit, or as you may allow in writing, we shall treat as confidential all confidential information relating to this Agreement and to the Service, and shall take all reasonable steps to see that our employees do likewise. This does not apply to information in the public domain or which we receive from some other source not related to the Service. 

Assignment

Neither you nor we may assign the benefit of this Agreement without the consent of the other but we may sub-contract the performance of parts of the Service subject to notifying you in writing of the name of the sub-contractor. We will remain liable for work sub-contracted.

Third Parties

We do not intend any person to have any right to enforce any provisions of this Agreement pursuant to the Contracts (Rights of Third Parties) Act 1999.

Governing Law and Interpretation 

This Agreement shall be governed by the laws of the United Kingdom, and the courts of the United Kingdom shall have jurisdiction with regard to all matters arising under it. 

Professional Conduct

We will, at all times, use good industry practice, taking account of relevant guidance, standards and methods appropriate to working as Human Resources Advisers.

We will take reasonable steps to ensure that we have understood your instructions and the information provided to us throughout the duration of the Service period.

We will conduct ourselves in a professional manner in our dealings with the client on the provision of the Service.

We will provide human resources advice and support to the client that has, as far as reasonably possible in the light of the instructions and the information provided by the client, identified those human resources issues inherent in the Service that are applicable to the client.

We will be in regular contact with the client and its other relevant advisors in relation to the provision of the Service, and where appropriate, will have confirmed with the client that the client understands and is comfortable with the terms incorporated in the Service documentation.

Professional Relationship 

All surveys, forecasts, projections and recommendations made in this and any subsequent report, presentation or letters are made in good faith and on the basis of the information before us at the time.

However, we take no responsibility for their achievement or continuing applicability, because the actual out-turn will depend on future events and circumstances, including the actions of the client's management and staff. 

Ownership of, and responsibility for, implementation of recommendations rests with client's management. In consequence, no statement is deemed to be in any circumstances a representation, undertaking, warranty or contractual condition. 

In connection with the Service, each of us will have access to confidential information made available to the other; each shall protect such confidential information in the same manner as it protects its own confidential information. No antecedent negotiations between us shall be construed as a representation including this or any other proposal. 

Staff 

The client will not offer employment to any member of Cambridge Human Resources’ staff assigned to the Service, or induce or solicit any such person to take employment with the client; nor will he use the services of any person, either independently or via a third party, for a period of six months following the end of any involvement by that person with the Service for the client. If the client breaches this provision it shall pay Cambridge Human Resources liquidated damages equal to six months fees at the then current standard rates for the person concerned. 

Ownership 

Cambridge Human Resources retains copyright in all material provided to the client or otherwise generated in the course of the provision of the Service. The client will keep confidential any methodologies and technology used by Cambridge Human Resources to carry out the provision of the Service. Subject to our obligations of confidentiality, each of us shall be free to use the concepts, techniques and know-how used and developed in the provision of the Service. In any event we shall continue to be free to perform similar services for our other clients using our general knowledge, skills and experience. 

All presentations, reports and other advice given, including this document, are for your exclusive use and must not be handed over or otherwise disclosed to any third party without our prior written consent. 

Client Service 

Our objective is to provide you with a high quality service to meet your needs. If at any time you would like to discuss with us how our service to you could be improved or if you are in any way dissatisfied with the service you are receiving, please let us know by contacting the Person-in-Charge responsible for providing that Service. We undertake to look into any matter carefully and promptly and to do all we can to resolve the position to your satisfaction. 

Liability 

We undertake that we will exercise due care in the performance of our work in accordance with applicable professional standards. We will re-perform on the terms of this letter any work that is not in compliance with this undertaking without further liability for such non-compliance if it is brought to our attention within a reasonable time after the work is performed. 

It being expressly acknowledged by you that this provision, having regard to the commercial relationship and relative financial position of the parties, is fair and reasonable. 

Neither you nor we shall be liable for any delays or failures to perform due to causes beyond our control. Our responsibilities are limited to identification, documentation and appropriate communication or advice and recommendations to management, and accordingly, whilst we may assist in the implementation of recommendations, ultimately this is the sole responsibility of management. 

Due to the importance to our work of the information and representations supplied to us by the directors, employees and agents of the client, we shall not be held responsible or liable for any losses, damages, costs or other consequences if information material to our work is withheld or concealed from us or misrepresented to us. 

If there is any breach of duty in respect of the provision of services your sole claim will be against us and you shall not make any claim against any employee or officer of Cambridge Human Resources, (and this provision is expressly for the benefit of any such employee or officer.)

Confidentiality 

Permission to attribute work for a client publicly will always be obtained in advance. Notwithstanding this condition, Cambridge Human Resources assumes the right to use references in proposals or similar submissions made to other perspective clients, and to add to its published client list the name of the client unless the client expressly prohibits such disclosure. 

Unless otherwise specifically agreed, Cambridge Human Resources is authorised by the client to speak to or meet with any other person whom it may need to contact to perform the Appointment or whom the client requests Cambridge Human Resources to contact. 

Cambridge Human Resources may release to them for the purpose of the provision of the Service any information, whether confidential or not, which it has obtained during the course of the provision of the Service and shall not be liable for any use subsequently made of that information. 

Statutory Rights

Your statutory rights are not affected.

The CHR Documents Shop Referrer Scheme

Cambridge Human Resources offers selected referrers to the CHR Documents Shop digital products, materials and subscription services a referrer payment of 5.00% (five percent) of the net value of any completed purchases made through the CHR Documents Shop subject to the following conditions:

  1. The purchaser must enter the referrer's unique Referrer Code issued by Cambridge Human Resources as proof of the referral
  2. The Referrer Code used by the purchaser must be a code that has been issued to the referrer by Cambridge Human Resources
  3. The Referrer Code used through the CHR Documents Shop checkout at the time of order must be the Code issued to the referrer by Cambridge Human Resources for the purpose of the referrer earning a referral payment from Cambridge Human Resources
  4. The purchase has been made and completed within the period during which the Referrer Code is valid
  5. No chargeback or refund has been made against the order within any chargeback or refund period operated either by Cambridge Human Resources or by any third party organisation that the purchaser has used during the payments process

Payment of Referral Payments

Referral payments for qualifying purchases will be made directly to the referrer's or re-seller's bank or building society account by BACS transfer at the end of the month following the month in which the order is completed.

Referred Client's Discounts

As an incentive to referred clients to use the referrer's Referrer Code when placing an order through the CHR Documents Shop, the purchaser will receive a 5.00% (five percent) discount against the net value of any completed purchases made through the CHR Documents Shop.

Completion of Purchases

Completed purchases are defined as those orders for which cleared payment has been received by Cambridge Human Resources and for which no chargeback or refund has been made under the terms of Cambridge Human Resources' terms and conditions of business or under the terms of any third party organisation that the purchaser has used, (including for example, but not limited to, PayPal, the Banks Automated Clearing Scheme, Fastpay, Visa, Mastercard or any other card payment services,) to make payment.

Suspension or Discontinuance of Referrer Codes

Cambridge Human Resources may suspend or discontinue the use of any referrer codes it has issued, and if we do so, we will notify you by e-mail to the e-mail address you supplied to us when you registered your member contact details with us on our website.
